Origine of the funds and original agreement

AGREEMENT

1. Donation of Unrestricted Funds

1.1. Agora agrees to donate the sum of €35,000 (thirty-five thousand euros) to Citizen Spring as unrestricted funds.

2. Donation for the Establishment of a Collective

2.1. Agora agrees to donate an additional sum of €35,000 (thirty-five thousand euros) to Citizen Spring for the purpose of establishing a collective, which shall be fiscally hosted by Citizen Spring.

2.2. The purpose of the collective is to promote deliberative democracy in line with Citizen Spring’s mission.

2.3. The collective shall have as its initial administrators François-Xavier Lefebvre and Neil Evans.

2.4. The collective will define a process for project holders to apply for funds, in line with the mission of the collective.

2.5. If after 2 years there are still funds sitting in the collective, they will be donated to Citizen Spring to support other collectives.

3. Administration and Oversight of the Collective 'Citizen Democracy'

3.1. All expenses of the collective must be approved by at least one of the administrators.

3.2. Financial reporting for the collective shall occur automatically online, as every expense must be transparently recorded on the collective’s page onOpenCollective.com.

3.3. Additional administrators can be added or removed, provided that there are always at least two administrators. Any change in the administration requires the approval of at least one existing administrator.

4. Reporting and Accountability

4.1. Project holders approved by the collective are responsible for reporting on the activities financed through the collective’s fund.

4.2. Citizen Spring shall not be held responsible for providing activity reports on behalf of the project holders.

4.3. Citizen Spring will provide guidance to ensure that the funds are used in a manner that benefits the community and aligns with the mission of promoting, teaching, and experiencing new forms of democratic processes.

5. Miscellaneous

5.1. This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings, whether written or oral, relating to the subject matter hereof.

5.2. This Agreement may only be amended in writing and signed by both parties.

5.3. This Agreement shall be governed by and construed in accordance with the laws of Belgium. Any disputes arising from or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Brussels, Belgium.

5.4. All donations should be made to the bank account of Citizen Spring ASBL: 
       EE72 7777 0001 3831 7915 (monerium).
